EmberBOM Evaluation and Commercial License Notice

1. Ownership

EmberBOM source code and binaries are proprietary software. Except for the
limited rights stated below or in a valid order issued by the copyright holder,
no permission is granted to use, copy, modify, distribute, sublicense, sell, or
create derivative works from EmberBOM.

2. Fourteen-Day Evaluation

One legal organization may install and use an unmodified EmberBOM evaluation
release for fourteen consecutive days from its first use. The evaluation is
limited to five internal team members and to projects that the organization
owns or is authorized to scan. It is for internal product evaluation only,
requires no payment card, and does not renew automatically. At the end of the
evaluation, the organization must either obtain a paid license or stop using
and delete the EmberBOM software.

3. Founding Team License

A completed and non-refunded USD 99 Founding Team License order grants one
legal organization a non-exclusive, non-transferable right for up to five
internal team members to use eligible EmberBOM versions on projects that the
organization owns or is authorized to scan. Eligible versions are versions
made available to that purchaser during the twelve months beginning on the
purchase date. The right to use those eligible versions continues after the
twelve-month update period ends. There is no automatic renewal. Access to
versions first made available after that period may require a separate order.

The organization may use, copy, and share reports, SBOMs, and other output it
generates with EmberBOM, subject to any rights and restrictions that apply to
its own project data and third-party content. EmberBOM claims no ownership of
the organization's project data or generated output.

4. Restrictions

The software may not be redistributed, resold, sublicensed, offered as a
hosted service, shared with an unrelated organization, or used to provide a
software-scanning service to third parties. The software may not be modified,
reverse engineered, decompiled, or used to bypass technical or licensing
restrictions, except to the extent that applicable law does not allow such a
restriction.

5. Product Boundary

EmberBOM identifies and reports component evidence within its documented
supported scope. It is not a vulnerability scanner, antivirus product, legal
or compliance service, and does not guarantee that a firmware project is free
of unknown components, vulnerabilities, or licensing obligations. Results
that are marked for review or unknown require human review.

The license price does not include project inspection, custom configuration,
custom rules, consulting, a service-level agreement, hosted storage, or support
for undocumented toolchains. Documentation, reproducible defect reports, and
generally released product corrections may be provided without creating a
separate support obligation or guaranteed response time.

6. Updates and Refunds

The twelve-month update period provides access to generally released eligible
versions, if any. It does not promise a particular release schedule, feature,
or support duration. A full refund requested under the published fourteen-day
compatibility refund policy ends the paid license. After a refund, the
purchaser must stop using and delete paid EmberBOM versions. Mandatory rights
that cannot lawfully be excluded remain unaffected.

7. Third-Party Software

Third-party software incorporated into or distributed with EmberBOM remains
subject to its own license terms. See THIRD_PARTY_NOTICES.md and the LICENSES
directory included in release archives.

8. Disclaimer and Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED
"AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT
LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,
AND NONINFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE
COPYRIGHT HOLDER IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL,
CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, OR BUSINESS,
ARISING FROM THE SOFTWARE OR ITS USE.

9. Order Records

The Paddle checkout record or another written order accepted by the copyright
holder identifies the purchaser, purchase date, and applicable product. If a
valid order expressly grants additional rights, that order controls only to the
extent of the stated difference.
